To support the expansion of Centerview’s Activism Center of Excellence and defense business, a growth initiative for the firm. Assisting with the origination of client engagements including defense assignments. Creating client presentations regarding M&A activity, shareholder activism, strategy and corporate governance issues. Playing a key role supporting live defense assignments across industry sectors including activist and hostile approaches. Assisting large multinational clients in the evaluation of strategic alternatives. Maintain regular dialogue with the chairmen, CEOs, CFOs and other senior management level employees from our clients, regarding all operational, strategic, legal and financial considerations of their businesses. Creating materials for internal meetings and marketing initiatives. Present detailed Board presentations to our clients, focusing on market conditions, their implications for our clients’ business, their competitors’ possible actions, activist strategies and influences upon our clients’ business strategies. Coordinating information flow and executing transactions across industry groups. Serving as key resource working closely with Principals, Managing Directors and Partners to create client deliverables and meet critical client requests. Communicating and interacting with clients, law firms and other parties (e.g., public relation firms, other investment banks). Assisting with recruiting, developing and training junior bankers across industry sectors. Supervise Analysts and Interns. Reviewing transaction documents including purchase & sale agreements, transaction service agreements, engagement letters to help identify legal and business issues. Reviewing corporate governing documents including articles of incorporation and bylaws, to assess whether there are any areas of vulnerability. Reviewing company specific documents that summarize key legal provisions such as shareholder rights plans and corporate governance documents. Will accept a foreign degree determined to be equivalent to a US JD by an accredited evaluation service. Minimum Requirements: JD + 2 years’ experience as an Attorney (Mergers and Acquisitions).
